The Senior Legal Counsel will support offshore wind project in the New York Bight in all legal matters, including advice in regulatory, environmental, and administrative law, and provide legal advice and support to the senior team, the project, and reporting to management.  They will negotiate, draft, and/or review a broad range of complex commercial agreements and corporate documents, and manage and maintain relationships with outside counsel to provide efficient and quality support to the business. 

Tasks

  • Manage legal support to advance the company’s offshore wind project efforts in the New York Bight lease area;
  • Negotiate, draft and review both simple and complex commercial contracts, including, but not limited to: NDAs, consulting agreements, acquisition agreements, strategic cooperation and joint venture agreements, real property agreements, interconnection agreements, ORECs, PPAs and other offtake agreements, engineering, procurement and construction (EPC) agreements, debt and tax equity financing agreements, operation and maintenance agreements, and other general commercial agreements;
  • Manage day-to-day requests from the Development, Engineering, Procurement and Construction teams within the project;
  • Advise the Managing Director and senior management on all legal, regulatory, policy, and commercial law matters related to the project’s activities, particularly related to offshore wind project development, construction, and operations;  
  • Develop and administer project’s legal budget, including legal budget associated with outside legal counsel and support;
  • Provide legal advice to asset management and other business areas with respect to offtake, trading and other agreements relating to renewable energy projects;
  • Provide legal advice in connection with energy marketing topics associated with entering into financial and physical electrical energy transactions, and in support of the legal and regulatory compliance matters related to such transactions;
  • Draft, review, and negotiate contracts and other agreements, including RFPs, template agreements, real estate agreements, service agreements, as well as renewable energy power purchase agreements and OREC contracts;
  • Provide strategic and legal advice on partnership discussions, community benefit agreements, other stakeholder agreements, and local content initiatives;
  • Assist with investment tax credit documentation and legal due diligence;
  • Advise on regulatory issues and compliance and support the commercial team in developing and maintaining policies and procedures and monitoring to ensure compliance;
  • Work within the broader legal department to support the business with respect to corporate governance, compliance, employment and HR matters;
  • Prepare and deliver updates on legal developments and requirements to various audiences and provide ongoing advice on applicable laws and regulations governing commercial activities;
  • General corporate and commercial legal matters, including but not limited to risk mitigation, corporate structuring and governance aspects and regulatory/policy compliance;
  • Analyze and interpret laws, statutes, and regulations, and identify areas of compliance and potential vulnerability and risk;
  • Perform other tasks and takes on additional duties as reasonably assigned by supervisor, project manager and/or group unit; and
  • Periodically travel between project offices as well as travel to and from respective project facilities.

Skills

  • Juris Doctorate from ABA accredited law school;
  • Admission to practice law in at least one U.S. state and the ability to practice law in New York or New Jersey;
  • A minimum of 6 years of experience negotiating, drafting, and reviewing complex commercial agreements;
  • Experience with LLC corporate law documentation and governance;
  • Experience negotiating commercial transactions in the power, renewable energy or offshore wind space is strongly preferred;
  • Experience with regulatory, real estate, environmental, renewable energy law and / or project finance is strongly preferred;
  • Excellent organizational and planning skills with meticulous attention to detail and quality of work product;
  • Demonstrated ability to handle multiple projects, prioritize and meet tight deadlines in a fast-paced, high growth environment;
  • Exceptional written and verbal communication skills;
  • Excellent problem solving and strategic thinking skills;
  • Risk assessment and due diligence skills;
  • Strong negotiation skills;
  • Knowledge and/or experience with the offshore wind industry or other large clean energy development preferred;
  • Ability to analyze and summarize complex development topics, aggregate decision-relevant information to convey messages clearly and concisely, and objectively develop, challenge, and verify conclusions;
  • Ability to responsibly handle sensitive, confidential, and privileged information;
  • Comfortable working in cross-cultural teams, collaborating across country boundaries with a sense for diversity and inclusion;
  • Ability to lead and manage multiple projects, work independently, and meet deadlines
  • Strong interpersonal and teamwork skills;
  • Strong experience with common business software tools, such as Microsoft Office (Word, Outlook, PowerPoint, and Excel); and
  • Highest standards of ethics and integrity.
