Main responsibilities:

  • Provide legal expertise and commercial support to North East staff and board of directors in the development, execution, administration, and operations of utility-scale offshore renewable energy projects.

  • Work with development project teams throughout the development process by providing legal advice on issues as they arise and providing solutions that meet project objectives while complying with departmental guidelines.

  • Develop, review, and recommend changes to legal aspects of procurement documents to improve efficiency and risk mitigation.

  • Timely prepare, negotiate, and finalize various project agreements including construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, filings and applications to various local, state, and federal agencies (including FERC/ BOEM/ NOAA/ USACE)

  • Support Chief Legal Officer in managing external legal resources to ensure efficient and effective completion of tasks

  • Support project documentation, document retention and compliance functions.

  • Coordinate efforts with other legal and management staff regarding corporate and project requirements to ensure maximum value and appropriate risk management for its owners.

  • Support project financing, acquisition and sale processes, including assisting in due diligence efforts.

Direct reports: N/A

Travel: Minimal for New York City area residents, occasional travel for remote work arrangements from other locations.

Minimum qualifications:

  • J.D. degree from an ABA accredited law school.

  • Licensure to practice law in at least one state, preferably New York, Massachusetts or Texas.

  • 5 to 7 years of in-house counsel or comparable law firm experience with emphasis on drafting and negotiating complex legal documents.

  • Experience in project development, including handling development, construction, and operations of large projects.

  • Experience in the renewable energy industry, including dealing with multinational investors.

  • Knowledge of a wide variety of project development contracts including construction agreements, operation and maintenance agreements, engineering and consulting services agreements, confidentiality agreements, purchase agreements, and other relevant documentation along with the manner in which corporate entities operate and are organized within the power industry

  • Project finance and/or tax equity financing experience preferred

  • Proficient knowledge of Microsoft Office Software

  • Competency in Analytical Problem Solving, Strong Communication, Customer/Partner Relationships, and Technology Expertise. (Preferred)
